Zencastr Leaderboard Challenge Official Rules and Terms
Effective Date: September 26, 2024
Challenge Promotional Period: September 26, 2024, to December 15, 2024 at 11:59 PM Pacific Standard Time (PST)
1. Eligibility
1.1. The Zencastr Leaderboard Challenge (the “Challenge”) is open to individuals who are 18 years of age or older at the time of entry.
1.2. Participants must hold a Zencastr account with an eligible active subscription plan throughout the Challenge period. Accounts with trialing subscriptions or past-due balances are not eligible for participation. Eligible subscription plans include: Hobbyist, Standard, Grow, Scale, Business, and Enterprise.
1.3. Employees of Zencastr, its affiliates, subsidiaries, and immediate family members of employees are not eligible to participate.
1.4. Participation in this Challenge constitutes acceptance of these Official Rules (the "Rules") and the Zencastr Affiliate Program Terms and Conditions (the "Affiliate Terms"). By participating, entrants agree to abide by these rules, which are subject to change without notice. Please refer to the Affiliate Terms here.
2. How to Participate
2.1. To participate, entrants must share their unique Zencastr referral link with their network.
2.2. Raffle Participation: By sharing your referral link once, you will be automatically entered into the raffle. This raffle is open to all participants, whether or not their referrals result in conversions. There is a limit of one raffle entry per participant, regardless of how many times the referral link is shared.
2.2. Leaderboard Participation: Referrals will only count towards the leaderboard if they complete all three qualification stages:
Stage 1: The referred individual signs up for a Zencastr account using the participant’s unique referral link.
Stage 2: The referred individual initiates a trial of a Zencastr paid plan (Standard or higher).
Stage 3: The referred individual converts to a paid plan (completing the first payment after the trial period).
2.3. Each referral that completes all three stages will count as a "conversion" and will add to your total leaderboard score.
2.4. When sharing your referral link, you must comply with all applicable marketing and advertising regulations. Certain platforms or practices, such as promoting on coupon sites or using inappropriate content, are prohibited.

3. Referral Qualification and Tracking
3.1. Leaderboard entries: To count as a "conversion" towards the leaderboard, referrals must complete all three qualification stages (as outlined in Section 2) during the Challenge period.
3.2. Zencastr, through its third-party tracking provider, Rewardful, will automatically track all referrals from the moment the referral link is clicked until the conversion is completed. Zencastr reserves the right to verify the eligibility and accuracy of all referrals.
3.3. Raffle entries: All participants who share their referral link during the Challenge period will be entered into the raffle. There is a limit of one raffle entry per participant, regardless of the number of times the referral link is shared or how many referrals are made.
3.3. Duplicate, fraudulent, or invalid accounts, as well as referrals that do not complete all required stages, will be disqualified and will not count towards the leaderboard.
3.4. Any participant found to have engaged in any fraudulent activities to manipulate the results will be immediately disqualified from the Leaderboard Challenge.
3.4. The Challenge period is from September 26, 2024, to December 15, 2024, at 11:59 PM PST. Referrals must result in a paid subscription within this timeframe to count as a conversion.
4. Prizes and Leaderboard
4.1. Raffle Prize: All participants who share their referral link during the Challenge period, whether or not their referrals result in conversions, will be entered into the raffle to win one of five $50 gift cards. The winners will be selected randomly from all participants.
4.2. Leaderboard Prizes: Prizes will be awarded to the top three participants based on the total number of qualifying conversions made during the Challenge period.

- 3rd Place: Audio-Technica Headphones
4.2. In the event of a tie (i.e., if two or more participants have the same number of qualifying conversions), the participant with the highest total dollar value of conversions (i.e., the combined value of the paid plans selected by their converted referrals) will be awarded the higher place.
4.3. Zencastr reserves the right to determine an additional tiebreaker if necessary, in the event that participants have identical numbers of conversions and leads.
4.4. In the event a physical prize cannot be shipped to the winner’s location, Zencastr reserves the right to substitute the prize with an item of equal or greater value or offer the equivalent cash value in USD via PayPal.
4.5. Prizes are non-transferable and may not be exchanged for any other product or service unless agreed upon by Zencastr.
4.6. Winners will be announced on December 17, 2024, and notified via email. Winners must claim their prize within 7 days of notification. Failure to respond may result in forfeiture of the prize, and an alternate winner may be selected.
5. Commission:
5.1. In addition to leaderboard prizes, participants will earn a 20% commission on all qualifying sales made through their referral link, as governed by the Zencastr Affiliate Terms. Commissions will continue to accrue beyond the Challenge period for up to 12 months after the initial sale, per the terms outlined in the Affiliate Program.

6. General Conditions
6.1. Zencastr reserves the right to verify the eligibility of all participants and referrals.
6.2. Zencastr reserves the right to suspend, modify, or terminate the Challenge at any time for any reason.
6.3. Zencastr’s decisions regarding all aspects of this Challenge are final and binding.
7. Publicity
7.1. By accepting a prize, winners consent to Zencastr’s use of their name, likeness, and biographical information for promotional purposes without additional compensation, unless prohibited by law.
8. Additional Terms:
8.1. For full terms governing the Zencastr Referral Program, including those related to commissions, valid purchases, and general conduct, participants should refer to the Affiliate Terms here.
8.2. Any attempt by a participant to deliberately damage or undermine the legitimate operation of the Challenge may be a violation of criminal and civil laws. Should such an attempt be made, Zencastr reserves the right to seek damages to the fullest extent permitted by law.
9. Limitation of Liability
Zencastr is not responsible for any issues, technical malfunctions, or human error that may interfere with the proper functioning of the referral tracking system, the eligibility of participants, or the awarding of prizes. By entering, participants agree to release and hold harmless Zencastr, its affiliates, officers, and employees from any and all liability related to this promotion or prizes awarded.
10. Governing Law
This promotion and its terms shall be governed by and construed under the laws of the State of Delaware, without giving effect to any conflicts of law principles.
